The financial services sector is one focus of the Middleton Reutlinger business practice. This practice also includes representation of our clients with regard to issuance of acceptance of letters of credit and guaranties and negotiation and documentation of inter-creditor and subordination agreements. Our full-service financial institution practice includes regulatory and corporate matters as well as lender liability defense and workouts when needed.


In our corporate practice we regularly represent our business clients in the negotiation and documentation of equity and profit participation transactions, including warrants and stock purchase agreements. On behalf of our clients, the firm also negotiates letters of credit, inter-creditor agreements, guaranties and subordination agreements. We are fully conversant in transactional structures, such as earn-outs and equity roll-overs. Middleton Reutlinger attorneys become involved with all aspects of the transactions, involving the purchase and sale of businesses, including structure, negotiation of terms and conditions, tax issues, securities issues, preparation of acquisition documents, sale and merger statements, earn-outs, roll-overs of equity, employment and non-compete agreements and negotiation and documentation of senior and subordinated acquisition financing.
